The Employee Stock Ownership Plan (“ESOP”) sold 1.96% of the common stock of the Company back to the Company.

COMPANY
The Company sells and installs highway safety devices, including striping, impact attenuation devices and highway electrical services. The Company primarily operates in the southeastern region of the United States.

OUR ROLE
Pendo Advisors, LLC served as independent financial advisor to the trustee of the ESOP and provided a fairness opinion in connection with the transaction.
